By visiting mwdvibe.com, engaging our services, or entering into a service agreement with us, you agree to these Terms of Service. If you don't agree, please don't use our services. These Terms form a legally binding agreement between you ("Client," "you," or "your") and MW Design Studio ("we," "us," or "our").

1. What We Do

MW Design Studio provides social media management, content creation, and marketing services, including:

  • Social media management and account oversight
  • Content creation including graphics, copywriting, and short-form video
  • Social media strategy and campaign planning
  • Analytics reporting and performance reviews
  • Community management and audience engagement
  • Brand identity and visual content development
  • Email marketing and automation support
  • Consulting and strategic guidance

The specific details of each engagement, including scope, timeline, and pricing, are defined in individual project proposals and service agreements. These Terms apply to all work we do together.

2. Getting Started and Staying in Scope

Every Project Starts with a Proposal

Before any work begins, we'll put together a written proposal that covers:

  • What we're building and what you'll receive
  • The timeline and key milestones
  • Pricing and payment terms
  • How many rounds of revisions are included

Changing Course

If you'd like to change the scope of work after we've started, that's okay, but any changes need to be:

  • Requested in writing (email works)
  • Agreed on by both parties before we act on them
  • Documented with updated timelines and any additional costs

Anything outside the original agreement isn't guaranteed and may require a separate proposal.

3. What We Need from You

A project goes well when both sides show up. To keep things moving, you agree to:

  • Give us accurate and complete information during onboarding and throughout the project
  • Provide brand assets, login credentials, and any other needed materials on time
  • Make sure any content you provide is original or properly licensed
  • Respond to feedback requests within the timeframes we agree on together
  • Have one main point of contact for the project
  • Show up for check-ins and strategy calls as outlined in your agreement

If delays happen on your end, we'll adjust timelines accordingly, but those delays are not our responsibility.

4. Payment

When You Pay

  • Ongoing services: Billed monthly in advance
  • Standard projects: 50% due when you sign the agreement, 50% due at completion
  • Large or multi-phase projects: Milestone payments as laid out in the proposal
  • Rush projects: Full payment required upfront

How You Pay

We accept credit and debit cards through Stripe and bank transfer. All payments are processed securely.

Late Payments

If an invoice isn't paid within 30 days:

  • A late fee of 1.5% per month applies to the balance
  • We may pause active work until the account is current
  • Significantly overdue balances may be referred to collections

5. Revisions and Sign-Off

What's Included

  • Social media content: 2 rounds of revisions per batch
  • Brand and design projects: 3 rounds of revisions
  • Marketing campaigns: 2 rounds of revisions

Going Beyond That

Additional rounds are billed at our standard hourly rate. Changes that significantly shift the original direction may require a new agreement.

Moving Forward

We need your sign-off before advancing to the next phase of a project. If we don't hear back within 7 business days of submitting work for review, we'll treat it as approved and move forward.

6. Who Owns What

You Own the Final Work

Once you've paid in full, you own:

  • All final files created specifically for your project
  • Custom graphics, copy, and brand elements we made for your account
  • Approved final versions of all marketing and content materials

We Keep Our Tools and Process

MW Design Studio retains ownership of:

  • Drafts, concepts, and work in progress that didn't make it into final deliverables
  • Our processes, workflows, templates, and methodologies
  • Any tools or systems we built before your project started

Our Portfolio

We may include your finished work in our portfolio and reference our work together in marketing contexts. Case studies require your written approval before we publish anything.

Third-Party Assets

If we include stock photography, licensed fonts, or other outside assets, appropriate licensing is built into the project price unless otherwise noted.

7. Confidentiality

We keep everything you share with us confidential, including business plans, competitive information, unpublished content, and personal data. This applies even after your project ends.

8. Social Media Account Access

When clients provide login credentials or grant access to social media accounts for management purposes:

  • Access is used solely to perform the agreed-upon services
  • Credentials are stored securely and accessed only by authorized team members
  • MW Design Studio is not liable for platform-side issues, account suspensions, or algorithm changes that affect performance

We recommend updating passwords and revoking access after the engagement ends.

9. What We Can and Can't Promise

Results Aren't Guaranteed

Social media and marketing involve a lot of variables outside our control, including platform algorithm shifts, market conditions, and the quality of assets you provide. We don't guarantee specific follower counts, engagement rates, leads, conversions, or revenue outcomes.

What We Do Warrant

We commit to performing all services professionally and in line with what we agreed to. We can't control the platforms, tools, or systems we don't own.

Liability

Our total liability for any claim is limited to the amount you paid for the specific service at issue. We're not liable for indirect, consequential, or punitive damages, including lost profits or business opportunities.

10. Ending the Engagement

If You End Things

You can end the project at any time with written notice. When you do:

  • You owe payment for all work completed up to that point
  • Work in progress may be delivered at our discretion
  • Deposits and payments for completed work are non-refundable

If We End Things

We may suspend or end services if:

  • Payment isn't made
  • You can't provide materials, access, or feedback needed for the work to move forward
  • You breach these Terms
  • Continuing the engagement becomes commercially or ethically unworkable

11. If There's a Dispute

Both parties agree to work through disagreements in this order:

  1. Direct conversation in good faith
  2. Mediation if the conversation doesn't resolve things
  3. Binding arbitration for anything that remains unresolved
  4. Texas courts if arbitration doesn't apply

12. A Few More Things

Governing law: Texas law governs these Terms.

Force majeure: Neither party is responsible for delays caused by circumstances outside our control, including natural disasters, platform outages, or other unforeseeable events.

Severability: If one part of these Terms is found invalid, everything else stays in effect.

Entire agreement: These Terms, combined with your project proposal and service agreement, represent the full agreement between us and replace any prior conversations or understandings.

13. Updates to These Terms

We may revise these Terms from time to time. When we do, we'll update the date at the top of this page. Continuing to use our services after a change means you accept the updated Terms.
